1. Introduction Welcome to Bloc Social, a sophisticated digital platform for discovering, creating, and engaging in events. These Terms and Conditions (the “Terms”), as operated by Bloc Digital Ltd. (“Bloc Digital”), govern your access and use of our websites, mobile applications, services, and associated technology platforms (collectively, the “Services”). By accessing or using any part of our Services, you agree to be bound by these Terms, which form a legally binding contract between you and Bloc Digital.

These Terms also incorporate by reference any additional guidelines, policies, or rules posted on the Services or otherwise communicated to you, such as our Privacy Policy. It is your responsibility to review these Terms regularly to ensure that you understand and comply with all rules and requirements. If you do not agree to these Terms, you must discontinue use of the Services immediately.

1.1 Purpose and Scope Bloc Social exists to connect individuals through event discovery, ticketing, promotion, and community-building tools. Our Services range from simple event listings to sophisticated promotional campaigns and subscription-based features tailored to both individual users and event organizers. By using Bloc Social, you acknowledge that you understand the nature of our Services and agree to abide by all policies related to legal compliance, user conduct, payment processing, and content management.

1.2 Eligibility You represent and warrant that you are at least the age of majority in your country, state, or province of residence (or have reached 18 years of age if no majority age is prescribed by local laws) and that you have not previously been banned or restricted from using the Services. If you are accessing or using the Services on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that entity to these Terms.

2. User Registration and Account Management 2.1 Registration Requirements

To access certain features of the Services—such as creating events, posting user-generated content, or participating in subscription services—users must register and create a Bloc Social account. During registration, you must provide truthful, accurate, and complete information, including your full name, a valid email address, and any other details required by Bloc Digital. You must also keep this information current by promptly updating it whenever any aspect changes (e.g., your email address or payment information).

Providing false or incomplete information during registration or failing to keep your information up-to-date may result in the suspension or termination of your account and/or limited access to the Services. By creating an account, you acknowledge that you have read these Terms and agree to be bound by them.

2.2 Account Security You are responsible for maintaining the confidentiality of your account details and password. You agree to choose a strong, unique password and to safeguard your login credentials to prevent unauthorized access. Bloc Digital cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation. If you suspect unauthorized access to your account, you must immediately notify Bloc Digital by sending an email to our customer support team or by using any other official support channel provided.

2.3 Account Responsibilities All activities that occur under your account are deemed your responsibility. You agree not to share your account credentials with anyone else or otherwise enable unauthorized third parties to access your account. If you become aware of or suspect any unauthorized use of your password or account, you must notify Bloc Digital immediately. You also agree that you will not create multiple accounts for the same individual or entity for malicious or deceptive purposes.

2.4 Account Limitations Bloc Digital may, at its discretion, impose limitations on certain features or restrict your access to parts of the Services, particularly if suspicious or harmful activities are detected. These may include limits on the number of events created within a certain timeframe, restrictions on posting frequency, or caps on ticket sales volumes. Such measures are put in place to maintain the integrity and security of our platform, to ensure compliance with legal obligations, and to promote a positive user experience.

3. Content Ownership, Rights, and Usage 3.1 User-Generated Content

Our Services enable you to post content, including but not limited to photos, profiles (including your name, image, and voice), messages, notes, text, information, music, and videos (collectively, “User Content”). By submitting User Content, you confirm that you either own the rights to such content or have obtained necessary permissions from the rightful owner(s). You are solely responsible for the content you submit and any consequences arising from its publication or use.

3.2 Content Licensing By posting, uploading, or submitting User Content on or through the Services, you grant Bloc Digital a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods, whether now known or later developed. This license allows us to make your content available to the rest of the world and to let others do the same in connection with the Services, subject to these Terms.

You understand that you retain any ownership rights in your User Content, and Bloc Digital will not claim ownership over your specific intellectual property. However, you acknowledge that the license granted to us is necessary for the continued and improved operation of our Services, particularly in relation to data backups, caching, analytics, and promotional activities.

3.3 Prohibited Content You agree not to post any User Content that violates any law or these Terms. Prohibited content includes, but is not limited to, content that:

●​ Is defamatory, obscene, pornographic, vulgar, or offensive ●​ Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any

individual or group ●​ Is violent or threatening, or promotes violence or actions that are threatening to

any other person ●​ Promotes illegal or harmful activities or substances

Violation of these guidelines may result in immediate removal of the prohibited content and the suspension or termination of your account. Bloc Digital reserves the right to report any such violations to relevant law enforcement authorities, if required or deemed appropriate.

3.4 Moderation and Enforcement Bloc Digital may monitor, review, remove, or refuse to display any User Content at its sole discretion, particularly if it believes the content violates these Terms or any applicable law. While Bloc Digital is not obligated to monitor every piece of content, we reserve the right to take any action we deem necessary and appropriate, including suspension or termination of your account, removal of problematic posts, and cooperation with law enforcement for legal violations.

4. Events and Transactions 4.1 Event Creation and Promotion Users who create events (each an “Organizer”) through the Services are responsible for providing accurate and up-to-date information about the events. This includes event descriptions, pricing, timing, location, limitations on attendance, age restrictions (if any), and any other pertinent details. Organizers must conduct their events in accordance with all applicable local, state, national, or international laws and regulations, including but not limited to public safety, venue capacity, and licensing requirements.

Organizers agree to present their events in a fair and non-misleading manner. False advertising, deceptive practices, or any form of misrepresentation may result in penalties or removal from the platform. Bloc Digital reserves the right to request additional information from Organizers to verify the legitimacy of the event and compliance with these Terms.

4.2 Tickets and Financial Transactions Tickets for events may be sold through Bloc Social’s integrated ticketing system or via external, third-party providers. Where the sale is processed through Bloc Social, you may be required to provide payment information, such as credit or debit card details, billing addresses, or cryptocurrency wallet information (if supported). By purchasing a ticket, you agree to the specific terms governing the transaction, which may include additional or separate Terms provided by the event Organizer or payment processor.

Financial Transactions and Fees:

1.​ Fees and Pricing: Bloc Digital may charge fees for ticket sales, promotional tools, or other premium services. These fees will be clearly stated before you finalize a purchase or subscription.

2.​ Taxes: Depending on your location and the nature of the transaction, sales taxes, value-added taxes (VAT), or other governmental fees may apply. Any applicable taxes will be added to the total purchase amount during checkout.

3.​ Payment Processors: All financial transactions are processed using one or more third-party payment processors. Bloc Digital does not store credit card details on its own servers.

4.3 Refund and Cancellation Policies Organizers are responsible for clearly communicating their event’s refund and cancellation policies. Unless otherwise specified at the time of purchase, the following rules apply:

1.​ Event Cancellation: If an event is canceled by the Organizer, full refunds must be issued to all ticket purchasers. This includes any fees charged at the time of purchase, unless explicitly stated otherwise.

2.​ Event Postponement: If an event is postponed by more than three months, ticket purchasers must be offered refunds unless the purchaser explicitly waives that right (e.g., by agreeing to transfer their ticket to the rescheduled date).

3.​ Organizer Policies: Organizers may have more lenient or strict policies, so long as they are clearly communicated and do not violate any applicable consumer protection laws.

4.​ Dispute Resolution: For disputes related to ticket purchases, users should first contact the Organizer for a resolution. If the Organizer does not respond or if a resolution is not possible, users may contact Bloc Digital support for further assistance.

5. Subscriptions and Payments 5.1 Subscription Services Bloc Social offers various subscription levels to users, which may include different features, levels of support, promotional tools, or analytics suites. Subscription fees, if applicable, are billed on a recurring cycle (monthly, quarterly, or annually, depending on the plan). These fees are non-refundable once paid, except where required by law.

1.​ Automatic Renewals: Unless canceled before the end of the billing cycle, your subscription will automatically renew for a similar term at the then-current rate.

2.​ Cancellation: You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. You will not receive a refund for any unused portion of the subscription period unless otherwise stated.

5.2 Payment Processing All payments made through our Services, whether for subscriptions, ticket purchases, or other transactions, are processed via third-party payment providers. Users agree to abide by the terms of these providers and must ensure that all information submitted (e.g., credit card number, expiration date, billing address) is accurate. By submitting payment details, you authorize Bloc Digital and its payment processors to charge the designated payment method for the total amount of your transaction, including any applicable taxes and fees.

Users may also have the option to pay with certain cryptocurrencies if specifically supported by the Services. The value of cryptocurrencies can be highly volatile, and you assume all risks associated with price fluctuations, transaction fees, and processing delays.

6. Intellectual Property Rights 6.1 Intellectual Property of Bloc Digital Unless otherwise indicated, all materials within the Services (excluding User Content), including but not limited to text, graphics, logos, button icons, images, audio clips, video clips, digital downloads, data compilations, and software, are the exclusive property of Bloc Digital and are protected by international copyright, trademark, patent, and other intellectual property or proprietary rights laws.

Bloc Digital grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal or commercial purposes strictly in accordance with these Terms. This license does not include any rights to modify, reproduce, distribute, transmit, display, or create derivative works from any part of the Services unless expressly permitted in these Terms or with prior written consent from Bloc Digital. Any unauthorized use terminates the permission or license granted by Bloc Digital under these Terms.

6.2 Trademark Notice All trademarks, service marks, and trade names of Bloc Digital (including the Bloc Digital name, the Bloc Social name, and associated logos) are trademarks of Bloc Digital. Any other trademarks, logos, or service marks mentioned in the Services are the property of their respective owners. The use of any of these marks without the prior written consent of the respective owner is strictly prohibited.

7. Privacy and Data Protection 7.1 Privacy Policy The use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge and agree that you have read and understood our Privacy Policy, including how Bloc Digital collects, uses, stores, and discloses your information.

7.2 Data Usage Bloc Digital collects certain types of data when you use the Services, such as personal information (e.g., names, contact information), transaction details, and usage logs. This data may be used to enhance the user experience, improve the Services, comply with legal obligations, and for other legitimate business interests. By using the Services, you consent to the collection, use, transfer, and storage of your data, as further detailed in our Privacy Policy

8. Disclaimers and Limitations of Liability 8.1 No Warranties The Services are provided on an “as is” and “as available” basis. Bloc Digital makes no warranties, whether express or implied, about the availability, performance, accuracy, quality, or functionality of the Services, or that the Services will be uninterrupted, error-free, or free from viruses and other harmful components. To the maximum extent permitted by law, Bloc Digital disclaims any and all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Limitations of Liability To the fullest extent permitted by applicable law, in no event will Bloc Digital, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues (whether incurred directly or indirectly), or any loss of data, use, goodwill, or other intangible losses, resulting from:

1.​ Your access to, use of, or inability to access or use the Services; 2.​ Any conduct or content of any third party on the Services, including any defamatory,

offensive, or illegal conduct of other users or third parties; 3.​ Unauthorized access, use, or alteration of your transmissions or content; 4.​ Statements or conduct of any user or third party on the Services; 5.​ Any other matter related to the Services.

In jurisdictions where limitations of liability are not permitted, liability will be limited to the greatest extent permitted by applicable law. If you are dissatisfied with any part of the Services, or with any of these Terms, your sole and exclusive remedy is to discontinue using the Services.

9. Termination and Suspension 9.1 Termination by User You have the right to terminate your agreement with Bloc Digital at any time by closing your account through your user account settings. Upon termination, you will lose access to certain features that require an account. However, certain aspects of these Terms will survive termination, including our rights regarding any content you have already submitted to the Services and any ongoing legal obligations.

9.2 Suspension and Termination by Bloc Digital Bloc Digital may suspend or terminate your account and deny you access to all or part of the Services without prior notice if you are found to be in breach of these Terms, if your activities pose a risk to other users, if your account is associated with illegal or harmful behavior, or if required by law. In such cases, Bloc Digital will endeavor to communicate the reasons for the suspension or termination to you, unless legal or security considerations prevent such disclosure.

9.3 Effect of Termination Upon termination or suspension of your account:

1.​ Your license to use the Services will immediately cease. 2.​ Any outstanding payment obligations accrued prior to termination remain due. 3.​ Bloc Digital may retain your User Content and data for a commercially reasonable period

to comply with legal obligations, enable dispute resolution, or enforce these Terms.

10. Modifications to the Terms 10.1 Right to Modify Terms Bloc Digital reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. If a material change is made, Bloc Digital will make reasonable efforts to notify you by email or by posting a prominent notice on the Services prior to the change becoming effective. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Services after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new Terms, you must cease using the Services immediately.

10.2 Continued Use After Changes It is your responsibility to review these Terms periodically. Continued use of the Services following the posting of any changes constitutes acceptance of those changes. 11. General Provisions 11.1 Governing Law These Terms and any disputes arising out of or related to them will be governed by and construed in accordance with the laws of the jurisdiction in which Bloc Digital is incorporated, without regard to conflict of law principles. You consent to the personal jurisdiction of the courts located in that jurisdiction for the resolution of any disputes.

11.2 Entire Agreement These Terms, together with any policies or operating rules posted by Bloc Digital on or through the Services, constitute the entire agreement and understanding between you and Bloc Digital regarding the use of the Services. They supersede and replace any prior or contemporaneous agreements, communications, and understandings, whether written or oral, regarding your use of the Services.

11.3 Severability If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will continue in full force and effect.

11.4 No Waiver No waiver of any term or condition set forth in these Terms shall be deemed a continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Bloc Digital to assert a right or provision under these Terms does not constitute a waiver of that right or provision.

11.5 Assignment

You may not assign or transfer these Terms or any rights or obligations herein without Bloc Digital’s prior written consent. Bloc Digital may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

11.6 Force Majeure Bloc Digital shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
